1. AUTHORIZATION: The above client is engaging Claude V. Martins as and independent contractor for the specific project/s of: _____________________________________________________.
The terms and conditions set forth in this document constitutes the sole agreement between Claude V. Martins and the client regarding said work.
2. COST: Each Simple Web-Page shall be rated as 1.0 screen of content on a 17" monitor and billed at $75 per page for Simple-Pages which consist of; text, links & images only and exclude animations, forms, e-commerce, shopping carts and password protected pages and all custom programming, graphic design, logo design, research, etc. For Complicated-Pages which consist of and include text, links & images, animations, forms, e-commerce, shopping carts, password protected pages and all custom programming, graphic design, logo design, research, etc, client agrees to pay Claude V. Martins $35 per hour.
The client and Claude V. Martins agree that this web site having an estimated # of ____ Simple-Pages (billed at $75 per page and rated as 1 screen of content on a 17" monitor and/or needing an estimated # of ____ hours of work for Complicated-Pages billed at $35 per hour), shall all be completed for an estimated total of $________.
3. ADDITIONAL PAGES: Should the client desire additional Web pages beyond the original number of pages specified above, the client agrees to pay Claude V. Martins an additional $75.00 per page for Simple-Pages & $35 per hour for Complicated-Pages.
4. SITE MAINTENANCE / MANAGEMENT: Fees for maintenance / management will be billed at a rate of $35 per hour. This refers to changes to existing or new content, for maintenance or management and refers to but is not limited to: planning, research, changes to existing site, META tags placement, search engine optimization and submission, website re-evaluation, re-design, and anything else related to website management even if not listed here will be billed at $35 per hour.
5. PAYMENT: Client agrees to pay to Claude V. Martins an initial sum of
$ ______ (1/2 of total estimated amount stated in paragraph 2) upon execution of this agreement. Five working days after work is started and every 5 working days thereafter, a bill for that week's work will be sent to the client. The amount of the bill will be deducted from the initial payment of 1\2 of the estimated total amount When the initial payment has been exhausted, client will be notified and payment will be expected within 3-5 working days. If payment is not received in time, work will be stopped until payment is made. All remaining charges agreed upon and which may accrue shall become due and payable to Claude V. Martins after 5 working days of the work in question or upon completion of the services described above, whichever comes first. Delinquent bills will be assessed a $35 charge if payment is not received within 7 days of the due date. If an amount remains delinquent 14 days after its due date, an additional 10% penalty will be added for every 2 weeks of delinquency. Should collection activities become necessary, the client agrees to pay all fees relating to said activity.
6. FORMS OF PAYMENT: Payment shall be by check, money order, major credit card or in (US Dollars), and made payable to Claude V. Martins.
7. CANCELLATION: In the event that Work is postponed or cancelled at the request of the Client, Claude V. Martins shall have the right to bill pro rata for work completed through the date of that request. If additional payment is due, this shall be payable within 14 days of the Client's notification to stop work. In the event of cancellation, the Client shall also pay any expenses incurred by Claude V. Martins. The Client shall assume responsibility for all collection of legal fees necessitated by default in payment.
8. WARRANTIES AND LIABILITY: Claude V. Martins does not warrant that the functions of the web site will meet the client's expectations of site traffic or resulting business or profit. In no event will Claude V. Martins or its sub-contractors be liable to the client or any third party for any changes, including any lost profits, lost savings or other, incidental, consequential or special damages
9. PERMISSIONS AND RELEASES: The Client agrees to indemnify and hold harmless Claude V. Martins against any and all claims, costs and expenses, including attorney's fees, due to materials included in the Work at the request of the Client for which no copyright permission or previous release was requested or uses which exceed the uses allowed pursuant to a permission or release.
10. NONDISCLOSURE: Claude V. Martins agrees not to disclose any of the provisions of this agreement or any of the information provided by the Client in regards with this project to any third party, without the written consent of the Client.
11. CODE OF FAIR PRACTICE: The Client and Claude V. Martins agree to comply with the provisions of the Code of Fair Practice, a copy of which may be obtained from the Joint Ethics Committee, P.O. Box 179, Grand Central Station, New York, New York 10017.
12. ARBITRATION: Any disputes in excess of $1,000 (or the maximum limit for small claims court) arising out of this Agreement shall be submitted to binding arbitration before the Joint Ethics Committee or a mutually agreed upon Arbitrator pursuant to the rules of the American Arbitration Association. The Arbitrator's award shall be final and judgment may be entered in any court having jurisdiction thereof.
